RABBIT CAPITAL Service Agreement & Terms of Service
Effective date: July 10, 2026
These Terms of Service ("Agreement") govern your engagement of Rabbit Capital ("RC," "we," "us") for consultancy services ("Services"). By engaging RC, you ("Client") acknowledge that you have read and agree to these Terms.
1. The Engagement
Rabbit Capital is a funding advisory firm that connects businesses, projects, and ventures with potential investors. Client may be a founder, entrepreneur, project sponsor, advisor, or other party authorized to engage RC's Services on behalf of the business or opportunity in question. RC operates on a success-fee basis paid by the investor, not the Client. Client pays no fee, retainer, or commission to RC under this Agreement at any point.
2. Services Included
RC's engagement with Client includes:
Review of Client's pitch materials and business summary as submitted.
Introduction of Client's opportunity to RC's network of investors.
Outreach to and coordination with prospective investors on Client's behalf.
Facilitation of investor communications through to a funding close.
RC provides these Services on a best-efforts basis. RC does not guarantee funding, investor interest, or any specific outcome, and Client's success depends on factors outside RC's control, including investor discretion and market conditions.
3. Completion / Term of Engagement
This engagement continues until any one of the following occurs:
Client successfully closes funding through an investor introduced or facilitated by RC.
Client notifies RC in writing that they wish to discontinue the engagement.
RC determines, in its reasonable judgment, that it is unable to secure investor interest for Client's opportunity.
Client becomes unresponsive for more than thirty (30) days after reasonable attempts by RC to continue the engagement.
Upon termination of the engagement for any reason, RC has fulfilled its obligations under this Agreement with respect to any funding not yet closed.
4. Fees
RC's compensation is a success fee paid by the investor upon a successful closing, pursuant to a separate agreement between RC and the investor. Client owes RC no fee, commission, retainer, deposit, or other payment under this Agreement, regardless of whether funding closes.
Where RC introduces Client to a third-party organization or partner, any fees charged by that third party to Client are set solely between that third party and Client. RC has no role in setting, collecting, or enforcing such fees, and is not responsible or liable for them in any respect. Any dispute regarding third-party fees is strictly between Client and that third party, and does not involve RC.
Any fee-sharing arrangement between RC and a third-party organization or partner is independent of this Agreement and does not create any payment obligation for Client.
5. No Client Payment / No Refund Applicable
Because Client pays no fee under this Agreement, no refund provision applies.
Your Privacy Rights
Client agrees to:
Provide accurate and complete information about the business or opportunity and its funding needs.
Submit requested materials in a timely manner.
Respond promptly to investor inquiries and due diligence requests facilitated through RC.
Participate in the engagement in good faith, and not circumvent RC by continuing discussions or closing funding directly with an investor RC introduced, without RC's involvement or knowledge.
7. Confidentiality
RC treats all Client financial information, deal specifics, and investor communications as confidential. RC will not disclose Client's confidential information to third parties other than prospective investors as reasonably necessary to facilitate introductions, without Client's consent.
Client likewise agrees to keep confidential any investor information, terms, or communications shared with Client through RC, and not to disclose them without RC's consent.
8. Intellectual Property
Any materials, frameworks, or documents prepared or provided by RC in connection with this engagement remain the property of RC. Client receives a limited, non-transferable license to use such materials solely in connection with the business or opportunity for which RC's Services were engaged.
9. Limitation of Liability
RC provides its Services on a best-efforts basis and does not guarantee funding or any specific outcome. Because RC does not collect any fee, deposit, or payment from Client under this Agreement, RC shall have no liability to Client for any damages, losses, or claims arising from or related to this Agreement, including but not limited to the outcome of any investor introduction, the terms of any funding, or the conduct of any investor or third party. This limitation does not apply to damages arising from RC's gross negligence or willful misconduct.
9. Limitation of Liability
RC provides its Services on a best-efforts basis and does not guarantee funding or any specific outcome. Because RC does not collect any fee, deposit, or payment from Client under this Agreement, RC shall have no liability to Client for any damages, losses, or claims arising from or related to this Agreement, including but not limited to the outcome of any investor introduction, the terms of any funding, or the conduct of any investor or third party.
10. No Professional Advice
RC's Services are provided for funding advisory purposes only. Nothing provided through RC's Services constitutes legal, accounting, tax, financial, investment, or other professional advice. Client is responsible for obtaining independent professional advice where appropriate.
11. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law principles.
12. Electronic Acceptance
By engaging RC's Services, whether through written confirmation, email, or electronic acceptance of an offer, Client acknowledges that they have read these Terms and agree to be legally bound by them. Electronic acceptance has the same legal effect as a handwritten signature.
